These terms govern your use of the Learn AI with Nick website and services operated by Markham Square Ventures. By registering for a webinar, booking a workshop, or otherwise using our services, you agree to these terms.

1. General Terms

Our services are intended for individuals who are at least 18 years of age. By using our services, you represent that you meet this requirement.

We reserve the right to refuse service, terminate accounts, or cancel registrations at our sole discretion if we believe that your conduct violates these terms or is harmful to other users, us, or third parties.

2. Webinar Registration & Participation

Webinars are live online sessions that require advance registration. By registering, you agree to provide accurate contact information and acknowledge that session details (date, time, platform link) will be sent to the email address you provide.

Each registration is for a single individual. Sharing access links, login credentials, or session recordings with non-registered participants is prohibited.

We make reasonable efforts to deliver webinars as scheduled. However, we reserve the right to reschedule, modify, or cancel a webinar at any time. In the event of a cancellation by us, registered participants will receive a full refund or credit toward a future session.

Webinar recordings, when made available, are provided for the personal use of registered participants only and may not be downloaded, redistributed, or reproduced without written permission.

3. Workshop Registration & Participation

Workshops are in-person, hands-on training sessions that require advance booking. Capacity is limited, and registration is confirmed on a first-come, first-served basis.

Each registration is for a single individual unless otherwise specified. Substitutions may be allowed with advance notice — please contact us at least 48 hours before the workshop date. For group bookings or corporate training inquiries, please contact us directly — separate terms may apply.

Participants are responsible for their own travel, accommodations, and any equipment required for the workshop unless explicitly stated otherwise in the workshop description. Participants attend in-person events at their own risk and assume responsibility for their personal health and safety.

We reserve the right to reschedule, modify the format, or cancel a workshop. In the event of a cancellation by us, registered participants will receive a full refund.

4. Fees & Payment

Prices for webinars, workshops, and other paid services are displayed at the time of registration and are charged in U.S. dollars (USD). All prices are exclusive of applicable taxes, which are your responsibility.

Payments are processed by third-party payment providers. By making a purchase, you also agree to the payment processor's terms of service. We do not store your full payment card details.

We reserve the right to change pricing at any time. Price changes will not affect registrations already confirmed and paid for.

5. Refunds & Cancellations

For webinars: Refund requests made at least 24 hours before the scheduled start time will be honored in full. Requests made less than 24 hours before the start time are not eligible for a refund. No refunds are issued after the webinar has taken place.

For workshops: Refund requests made at least 7 days before the workshop date will be honored in full. Requests made between 7 days and 48 hours before the workshop date are eligible for a 50% refund. No refunds are issued less than 48 hours before the workshop or after the workshop has taken place.

All refund requests must be submitted in writing via email. Approved refunds will be processed to the original payment method within 10 business days of approval.

Cancellation of a registration does not entitle you to a refund of any fees already paid unless the cancellation falls within the refund windows described above.

6. Intellectual Property

All content provided through our services — including but not limited to presentations, worksheets, recordings, guides, and written materials — is the intellectual property of Markham Square Ventures and is protected by copyright law.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the materials for your personal and professional development. This license does not include the right to copy, modify, distribute, sell, or publicly display any of our materials without prior written consent. This license may be revoked if you violate these terms.

Any materials you create independently during a workshop or session remain your own property.

Any unauthorized use of our intellectual property may result in termination of your access to our services and may subject you to legal liability.

7. Prohibited Uses

When using our services, you agree not to:

  • Record, screenshot, or capture webinar or workshop content without explicit permission
  • Share, redistribute, or resell any materials provided through our services
  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Harass, abuse, or harm other participants, instructors, or staff
  • Attempt to gain unauthorized access to our systems or other users' information
  • Use automated tools to scrape, crawl, or extract content from our website
  • Misrepresent your identity or affiliation when registering for our services

8. Privacy & Communications

When you register for a webinar, workshop, or our newsletter, we collect your name and email address to deliver the service and send relevant communications. We may send you service-related emails such as registration confirmations, session reminders, and follow-up resources.

We do not sell your personal information to third parties. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy at /privacy.

By providing your email address, you consent to receive electronic communications from us. You may unsubscribe from marketing emails at any time using the link provided in each email.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our services will meet your specific requirements, that the results obtained from using our services will be accurate or reliable, or that any particular business outcome will be achieved through participation in our webinars or workshops.

Any advice, strategies, or information shared during our sessions is for educational purposes only and does not constitute professional, legal, financial, or technical advice.

10. Limitation of Liability

To the fullest extent permitted by law, Markham Square Ventures and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

Our total liability for any claim arising from or related to these terms or our services shall not exceed the amount you paid to us for the specific service giving rise to the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, including negligence, breach of contract, or any other theory.

11. Indemnification

You agree to indemnify, defend, and hold harmless Markham Square Ventures and its owners, employees, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms of Service, or your infringement of any intellectual property or other rights of any third party.

Markham Square Ventures reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of any such claim.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government orders, internet or platform outages, power failures, venue closures, or travel disruptions.

In the event of a force majeure affecting a scheduled webinar or workshop, we will make reasonable efforts to reschedule or provide an alternative. If rescheduling is not possible, affected participants will receive a full refund.

13. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page, and the "Last updated" date at the top of this page will be revised accordingly.

Your continued use of our services after any changes to these terms constitutes your acceptance of the revised terms. We encourage you to review this page periodically.

14. Miscellaneous

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Harris County, Texas.

These Terms of Service constitute the entire agreement between you and Markham Square Ventures regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these terms shall not be considered a waiver of that right or provision. Any waiver must be in writing and signed by Markham Square Ventures to be effective.

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.
